Terms of Service

These Terms of Service ("Terms") form a legal agreement between ASTERIS AI LTD ("Asteris AI", "we", "us") and you ("you" or "Customer"). By accessing or using the Asteris AI platform, mobile or desktop apps, browser extensions, APIs, or any related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service in Plain English

Asteris AI gives you chat‑based AI Marketing Assistants that act like virtual employees, helping generate copy, creative concepts, and other marketing assets using a blend of large language modelsincluding Asteris AI‑trained modelsand third‑party providers. You can:

• Chat with your Assistant in natural language.
• Export or copy the content it produces.
• Invite teammates to collaborate (subject to your plan).

You remain fully responsible for how you use any output.

2. Who Can Use Asteris AI

• You must be 18 years or older (or the age of majority where you live) and able to form a binding contract.
• If you create an account on behalf of an organisation, you confirm you have authority to bind that entity to these Terms.

3. Your Account & Security

• Keep your login credentials confidential. You are responsible for all activity under your account.
• Notify us immediately at support@asteris.ai of any unauthorised use.
• We may suspend or terminate accounts that violate these Terms.

4. Plans, Fees & Billing

• Pricing, plan limits, and feature descriptions are shown in the ordering flow and on https://asteris.ai/pricing.
• All fees are charged in advance and non‑refundable (see §5 for our limited courtesy refund policy).
• By adding a payment method you authorise Asteris AI (and our payment processor) to charge fees, taxes, and recurring subscription amounts until you cancel.
• You can cancel at any time; your plan stays active until the current billing period ends.

5. Our "No‑Refund" (But Human) Policy

We aim to keep things simple: all sales are final. That said, if you’re unhappy, email support@asteris.ai within 14 days of the charge and we’ll do our best to make it right, including, at our sole discretion, issuing a partial or full refund.

6. Your Content & AI‑Generated Content

6.1 Your Inputs ("User Content")

You keep all rights to text, images, or other material you upload. Grant us a world‑wide, royalty‑free licence to process that content solely to provide and improve the Service.

6.2 Outputs ("Generated Content")

Except for any pre‑existing third‑party material embedded by you or the model:

• We assign to you all our right, title, and interest in Generated Content for lawful use.
• Because outputs are machine‑generated,we do not guarantee originality, accuracy, or freedom from third‑party claims.You should review and, where necessary, professional‑clear any content before publishing.
• We may use anonymised snippets to tune and improve our models. If you have questions about this use, please contact support@asteris.ai.
• You authorise Asteris AI to use AI and automated processes to generate modifications and variants derived from your uploaded media and other User Content for the purpose of providing the Service. As between you and Asteris AI, you are solely responsible for, and assume all risk relating to, any such AI-generated variants, including their quality, accuracy, legality, and suitability for publication. You remain liable for any claims, complaints, losses, or liabilities arising from the creation, use, publication, or distribution of AI-generated variants, and you agree not to hold Asteris AI responsible for any grievances relating to them.

6.3 Prohibited Uses

Do not use the Service to create or share content that is unlawful, discriminatory, or infringes anyone’s rights. We may remove content or suspend accounts that breach this rule.

6.4 Prohibited Industries

You may not use the Service if you are, or if you use the Service to promote, facilitate, or provide services for, any of the following industries (including closely related or substantially similar activities):

• Adult content and pornography (including sexually explicit content, adult entertainment, and escort services).
• Gambling and betting (including online casinos, sports betting, lotteries, and games of chance where legally restricted).
• Illegal drugs and drug paraphernalia, and other controlled substances sold unlawfully.
• Tobacco and nicotine products (including vaping and e-cigarettes).
• Weapons and ammunition (including firearms, firearm parts, and ammunition).
• High-risk or unlicensed financial products and services (including certain cryptocurrency services, unlicensed exchanges, mixers, and similar services).
• Payday lending and other high-interest consumer lending.
• Multi-level marketing (MLM) and pyramid-scheme-like programmes.
• Alcohol sales where restricted or requiring specialised compliance.
• Hate, extremist, or violent organisations, or content that promotes violence or discrimination.
• Counterfeit goods, piracy, or other intellectual property infringement.
• Explosives, fireworks, and hazardous materials.
• Spyware, stalking, or unlawful surveillance-related products or services.
• Human trafficking-related services or content.
• Sanctions-restricted jurisdictions, entities, or individuals, or other activity prohibited by applicable law.

We may suspend or terminate accounts, and refuse or remove content, where we reasonably believe the Service is being used in connection with a prohibited industry or unlawful activity.

7. Privacy & Data Protection

Our Privacy Policy explains what data we collect and how we protect and use it. By using the Service you consent to those practices.

8. Service Availability & Changes

We work hard to keep Asteris AI running 24/7 but occasional outages, updates, or changes may occur. We reserve the right to modify, suspend, or discontinue features at any time.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTERIS AI DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. AI OUTPUTS MAY BE INCOMPLETE, INACCURATE, OR OFFENSIVE; USE JUDGEMENT BEFORE RELYING ON THEM.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ASTERIS AI (AND ITS SUPPLIERS) SHALL NOT BE LIABLE FOR LOST PROFITS, DATA, OR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU TO ASTERIS AI IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnity

You agree to indemnify and hold Asteris AI, its affiliates, and employees harmless from any claim arising from your misuse of the Service, User Content, or Generated Content.

12. Termination

You may stop using Asteris AI at any time. We may suspend or terminate the Service (or your account) for breach of these Terms or if required by law. Sections 6–11 remain in effect after termination.

13. Governing Law & Disputes

These Terms are governed by the laws of England and Wales, without regard to conflict‑of‑law rules. Any dispute will be resolved exclusively in the courts of England and Wales (unless local law provides you stronger consumer rights).

14. Changes to These Terms

We may update these Terms from time to time. We’ll notify you via email or in‑app banner at least 30 days before changes take effect. Continued use after that date constitutes acceptance.
